STANCEPRO TERMS OF SERVICE Effective Date: November 1, 2025 Last Updated: May 12, 2026 Welcome to StancePro. These Terms of Service (“Terms”) govern your access to and use of the StancePro mobile applications, websites, AI systems, coaching services, community features, and related products and services (collectively, the “Platform”). These Terms form a legally binding agreement between you and JC Kraft Pte. Ltd. (“JCK”, “Company”, “we”, “us”, or “our”), the operator of the StancePro platform (“StancePro”). By creating an account, accessing, or using the Platform, you agree to these Terms. --------------------------------------------------- 1. ACCEPTANCE OF TERMS -------------------------------------------------- 1.1 By accessing or using the Platform, you confirm that you have read, understood, and agreed to these Terms and our Privacy Policy. 1.2 If you do not agree to these Terms, you may not access or use the Platform. 1.3 Additional terms, policies, operational rules, or feature-specific conditions may apply to certain services and are incorporated into these Terms by reference. -------------------------------------------------- 2. ELIGIBILITY -------------------------------------------------- 2.1 You must be at least thirteen (13) years old to use the Platform. 2.2 If you are under eighteen (18), you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. 2.3 You may not use the Platform if: (a) your use violates applicable law, (b) you are prohibited from receiving services under applicable sanctions or export laws, (c) your account has previously been suspended or terminated by StancePro. -------------------------------------------------- 3. USER ACCOUNTS -------------------------------------------------- 3.1 You may be required to create an account to access certain Platform features. 3.2 You agree to: (a) provide accurate and current information, (b) maintain the security of your account, (c) keep login credentials confidential, (d) promptly update inaccurate information. 3.3 You are responsible for activities occurring under your account unless prohibited by applicable law. 3.4 StancePro may suspend, restrict, or terminate accounts for security, operational, legal, or policy-enforcement reasons. -------------------------------------------------- 4. ACCEPTABLE USE -------------------------------------------------- 4.1 You agree not to: (a) violate applicable law, (b) harass, threaten, abuse, or harm others, (c) upload unlawful, hateful, violent, pornographic, discriminatory, or abusive content, (d) impersonate another person, (e) interfere with Platform operations or security, (f) distribute malware or malicious code, (g) scrape or harvest Platform data, (h) reverse engineer Platform systems, (i) bypass security measures, (j) use Platform content for unauthorized AI training or competing datasets, (k) manipulate ratings, coaching systems, or disputes, (l) engage in fraud, spam, or deceptive conduct. 4.2 StancePro may investigate and take action regarding suspected violations. -------------------------------------------------- 5. COMMUNITY RULES AND SAFETY -------------------------------------------------- 5.1 StancePro maintains a zero-tolerance policy for abusive behavior, harassment, hate speech, predatory conduct, unlawful conduct, and objectionable content. 5.2 Users may report or block other users through Platform tools where available. 5.3 StancePro may review, moderate, remove, restrict, or investigate content or accounts for safety, operational, legal, or policy reasons. 5.4 StancePro aims to review valid safety reports within commercially reasonable operational timeframes but does not guarantee response times. -------------------------------------------------- 6. USER CONTENT, PLATFORM DATA, AND AI SYSTEMS -------------------------------------------------- 6.1 Users may upload videos, images, text, coaching requests, profile information, motion data, equipment information, messages, annotations, feedback, metadata, analytics, and related materials through the Platform (“User Content”). 6.2 Users retain ownership of their original User Content, subject to the rights and licenses granted to StancePro under these Terms. 6.3 By uploading or submitting User Content through the Platform, you grant StancePro a worldwide, perpetual, sublicensable, transferable, royalty-free license to host, store, reproduce, process, analyze, modify, adapt, transmit, display, distribute, create derivative works from, and otherwise use User Content for: (a) Platform operations, (b) service delivery, (c) coaching services, (d) moderation and safety, (e) customer support, (f) dispute handling, (g) analytics, (h) Platform improvement, (i) development and improvement of artificial intelligence, machine learning, computer vision, recommendation, scoring, motion-analysis, coaching-assistance, and automated systems, (j) AI model training, fine-tuning, evaluation, testing, and validation, (k) creation of aggregated, anonymized, de-identified, synthetic, or derived datasets, (l) benchmarking, simulation, and research, (m) future products, services, and Platform technologies. 6.4 You acknowledge and agree that StancePro may use uploaded videos, coaching content, metadata, interaction history, motion data, analytics, and related Platform information to develop, improve, train, evaluate, test, validate, and operate artificial intelligence, machine learning, computer vision, recommendation, motion-analysis, and automated coaching systems. 6.5 StancePro may aggregate, anonymize, de-identify, transform, derive, or generate datasets, analytics, simulations, models, synthetic datasets, or training materials from User Content and Platform interactions. 6.6 Except as permitted by Platform functionality, applicable law, or user authorization, StancePro will not intentionally publicly disclose personally identifiable User Content. 6.7 Users represent and warrant that: (a) they possess the rights necessary to upload User Content, (b) uploaded content does not violate applicable law or third-party rights, (c) uploaded content is not knowingly fraudulent, abusive, defamatory, or unlawful. 6.8 StancePro may remove, restrict, moderate, review, flag, or delete User Content at its discretion for safety, operational, legal, quality-control, or policy-enforcement purposes. -------------------------------------------------- 7. COACHING SERVICES -------------------------------------------------- 7.1 Coaching services available through the Platform may be provided by independent coaches, instructors, trainers, or third-party service providers. 7.2 Coaches are independent contractors and are not employees, agents, or representatives of StancePro. 7.3 Coaching feedback, AI analysis, recommendations, setup guidance, progression suggestions, and related services are educational and informational only. 7.4 StancePro does not guarantee: (a) riding progression, (b) coaching quality, (c) performance outcomes, (d) injury prevention, (e) technical accuracy, (f) uninterrupted service availability. 7.5 Snow sports involve inherent risk. You voluntarily assume risks associated with riding, training, terrain, weather, equipment, coaching, travel, and related activities. 7.6 You are solely responsible for your own riding decisions, equipment choices, physical condition, training decisions, and safety precautions. -------------------------------------------------- 8. MARKETPLACE AND PAYMENTS -------------------------------------------------- 8.1 StancePro may facilitate coaching sessions, subscriptions, digital products, credits, or related transactions through the Platform. 8.2 StancePro may use third-party payment processors, app marketplaces, financial providers, or payout providers. 8.3 Pricing, credits, subscription structures, refunds, availability, and marketplace features may change from time to time. 8.4 StancePro may suspend, delay, reverse, or deny transactions in connection with disputes, fraud prevention, policy enforcement, refunds, technical failures, or legal compliance. 8.5 Except where required by applicable law, purchases, subscriptions, credits, and digital services may be non-refundable. -------------------------------------------------- 9. INTELLECTUAL PROPERTY -------------------------------------------------- 9.1 The Platform, including software, branding, logos, interfaces, AI systems, scoring systems, algorithms, graphics, text, databases, designs, workflows, and related materials are owned by or licensed to StancePro and protected by applicable intellectual property laws. 9.2 Except as expressly permitted, you may not: (a) copy, (b) reproduce, (c) distribute, (d) reverse engineer, (e) create derivative works from, (f) commercially exploit, (g) resell, (h) license, (i) modify, (j) scrape, (k) train competing systems using Platform materials, without written authorization from StancePro. -------------------------------------------------- 10. PRIVACY -------------------------------------------------- 10.1 Your use of the Platform is subject to the StancePro Privacy Policy. 10.2 By using the Platform, you acknowledge that internet transmissions and digital storage systems may not be completely secure. -------------------------------------------------- 11. DISCLAIMERS -------------------------------------------------- 11.1 THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” 11.2 TO THE MAXIMUM EXTENT PERMITTED BY LAW, STANCEPRO DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. 11.3 StancePro does not guarantee uninterrupted operation, error-free functionality, coaching accuracy, AI accuracy, transmission security, or service availability. -------------------------------------------------- 12. LIMITATION OF LIABILITY -------------------------------------------------- 12.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, STANCEPRO WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THE PLATFORM. 12.2 TO THE MAXIMUM EXTENT PERMITTED BY LAW, STANCEPRO’S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE PLATFORM WILL NOT EXCEED THE GREATER OF: (a) USD $100, OR (b) THE TOTAL AMOUNTS PAID BY YOU TO STANCEPRO DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. -------------------------------------------------- 13. INDEMNIFICATION -------------------------------------------------- 13.1 You agree to indemnify and hold harmless StancePro and related parties from claims arising from: (a) your use of the Platform, (b) your User Content, (c) your violation of these Terms, (d) your violation of law, (e) your misconduct or negligence. -------------------------------------------------- 14. TERMINATION -------------------------------------------------- 14.1 StancePro may suspend, restrict, or terminate your account or access at any time. 14.2 Users may stop using the Platform or delete accounts through available Platform tools where supported. -------------------------------------------------- 15. CHANGES TO TERMS -------------------------------------------------- 15.1 StancePro may modify these Terms from time to time. 15.2 Continued use after updated Terms become effective constitutes acceptance of the updated Terms. -------------------------------------------------- 16. GOVERNING LAW -------------------------------------------------- 16.1 These Terms are governed by the laws of Singapore. -------------------------------------------------- 17. DISPUTE RESOLUTION -------------------------------------------------- 17.1 To the extent permitted by law, disputes shall be resolved through binding arbitration in Singapore on an individual basis. 17.2 You waive participation in class actions to the extent permitted by law. -------------------------------------------------- 18. SEVERABILITY -------------------------------------------------- 18.1 If any provision is unenforceable, the remaining provisions remain in effect. -------------------------------------------------- 19.
